I'd be interested to see a teardown/analysis of it, personally. Some other rather large companies have implemented it (Apple in particular), and it seems that Whatsapp runs with a decent amount of autonomy within Facebook, kind of like Oculus, don't screw with a good thing.

To add to /user/Zaimoxis' comment: WhatsApp uses Open Whisper System's products on Android. (iOS was in the works, anyone knows what's-(a)p with that? Also, group messages are not encrypted even on Android. Source

OWS has a Snowden endorsement on their site, which isn't bad at all, verified, he namedropped them in particular in an interview. Not to say that Whatsapp is 100% trustworthy, but it at least has end to end encryption when used with Android phones, which is better than the majority of popular chat systems, excluding iMessage.
