The Genzyme Corporation said yesterday that it had agreed to acquire Biomatrix Inc. for about $738.5 million in cash and stock. Genzyme plans to combine Biomatrix with two of its separately traded units, Genzyme Surgical Products and Genzyme Tissue Repair, to create a company called Genzyme Biosurgery. Genzyme, based in Cambridge, Mass., was one of the first biotechnology companies to become profitable and has since become a holding company for a diverse group of medical technology businesses. Biomatrix, based in Ridgefield, N.J., is a leader in the development and manufacture of so-called viscoelastic biomaterials for use in orthopedic and other medical applications. The materials are used to treat arthritis pain in one formulation and, in another, to fill in facial wrinkles. Genzyme Surgical Repair sells the Seprafilm product used to prevent post-surgical adhesion between organs. Genzyme Tissue Repair sells skin graft products. ''We are building an exciting new enterprise with very strong financial, commercial, scientific and product development capabilities, which creates a powerful platform for innovation,'' Henri A. Termeer, Genzyme's chairman and chief executive, said in a statement. ''Establishing this new organization dramatically transforms our biosurgery franchise. It provides critical mass and sharpens our strategic focus in several key markets.'' Genzyme said Genzyme Biosurgery would have revenue of more than $250 million a year and would be profitable measured on earnings per share, before amortization of good will, and would generate enough cash flow from operations to support current operations and to service any debt associated with the acquisition. The company would have more than 1,300 employees and six dedicated manufacturing centers. Biomatrix shareholders will hold 47 percent of Genzyme Biosurgery; Genzyme Tissue Repair shareholders about 27 percent and Genzyme Surgical Products about 26 percent.

And why do they have 6 manufacturing centers? Proximity matters if you're harvesting/transplanting organs I guess.
